AI Addendum

Our Artificial Intelligence Addendum (“AI Addendum”) was last updated on 28/10/2024.

This AI Addendum is made by and between GitGuardian SAS, a French “Société par Actions Simplifiée” located at 54, rue de Seine, 75006 Paris, France, and its wholly owned subsidiary GitGuardian Inc., a company incorporated in Delaware, having its registered office at 185 Alewife Brook Parkway Ste 210 Cambridge MA 02138 (“GitGuardian”) and You, and sets forth the terms and conditions for GitGuardian to provide AI Features to You.

From time to time, GitGuardian may introduce features or functionalities as part of the Services that utilize artificial intelligence technology relying on third party providers (“AI Features”). GitGuardian will notify You whenever it is going to release an AI Feature and You must choose to activate or not this AI Feature. 

During the use of the Services, You may submit data to be processed by the AI Features (“Input”), and receive content generated and provided back to You by the AI Features based on the Input (“Output”). 

You are solely responsible for any Input, including the accuracy, quality, appropriateness, and legality thereof, and will ensure that your Input does not infringe, violate, or misappropriate the rights of GitGuardian or any third party. GitGuardian may automatically block your Input, in GitGuardian’s sole discretion, if GitGuardian believes it violates the rights of a third party, applicable law, or the Agreement. 

You grant to GitGuardian a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, modify, sublicense, or translate both the submitted Input and the corresponding Output solely as necessary to operate the AI Features and to provide the Services. You represent and warrant that You possess all the rights necessary to provide your content and to grant the licenses to GitGuardian set forth herein.

Notwithstanding the restricted uses mentioned in the Agreement, You may not use AI Features in a manner that violates any technical documentation, usage guidelines, or other terms and conditions. GitGuardian agrees that any third parties that have access to Input through the AI Features will not be permitted for model improvement or training of their services with Input.

The Data Processing Addendum that is signed between the parties will be amended by adding the following:

All other provisions of any agreement signed between the parties will remain unchanged.
